Terms of Service
- By registering for the wifilo service ("Service") or any of the services of wifilo.com ("wifilo") you have agreed to be bound by the following terms and conditions ("Terms of Service"). Any new features or tools added to the Service shall also be subject to the Terms of Service. You can view the most current version of the Terms of Service at any time here. wifilo reserves the right to update and change the Terms of Service by posting updates and changes to the wifilo website.
- You are advised to check the Terms of Service from time to time for any updates or changes that may affect you. You must read, agree and accept all terms and conditions stated in the Terms of Service agreement and wifilo Privacy Policy before you can use wifilo services.
General requirements
- You must read, agree to and accept all terms and conditions in this User Agreement and Privacy Policy before you can become a member of wifilo.
- You may not use the wifilo service for any illegal or unauthorized purpose or in any other case, in the use of the Service, violate the laws of your country (including but not limited to copyright laws).
- You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Services, use of the Services, or access to the Services without express written permission by wifilo.
- You understand that your Store Content (not including credit card information), may be transferred unencrypted and involve (a) transmission over various networks; and (b) changes to meet and conform to network or equipment technical requirements. Credit Card information is always encrypted during transfer over the network.
- You acknowledge and agree that use of the Services, including information transmitted to or stored by wifilo, is governed by the privacy policy as set forth herein. You have read & understood the Privacy Policy first when deciding to use wifilo services further.
Account Requirements
- You must be at least 18 years of age or older or at least the age of majority where you live is considered an adult.
- You must provide your full legal name, current address, valid email address, and other information required to complete the registration process.
- You authorize wifilo to use the email address you provide as your primary method of communication.
- You are fully responsible for safeguarding your password. wifilo cannot and will not be liable for any loss or damage from your failure to keep your account and password secure.
- You are responsible for all activities and content such as data, graphics, photos and links uploaded to your wifilo account ("Online Store"). You are not permitted to send any kind of spam or viruses or destructive code.
- Any violation of the Terms of Service as set out in the sole discretion of wifilo will result in immediate termination of the services you are using and you will not be permitted to rejoin to use our services.
Account activation
- When you register for this service, you will become a contracting party ("Account Owner") in accordance with the Terms of Service and will be the person authorized to use your personal account and be fully responsible for all kinds of information & content that you enter.
- If you register for the Services on behalf of your employer, your employer will be the owner & administrator of this Account. If you register for the Services on behalf of your employer, then you represent and warrant that you have the authority to bind your employer to the Terms of Service.
Wifilo Rights
- We reserve the right to modify or discontinue the Service for any reason, without notice at any time.
- We reserve the right to refuse service to anyone for any reason at any time.
- We reserve the right, but have no obligation, to remove Content Stores and Accounts containing content that we determine in our sole discretion is unlawful, offensive, threatening, libelous, defamatory, fraudulent, pornographic, obscene or otherwise objectionable or violates any party's intellectual property or the Terms Service.
- Verbal or written harassment of any kind (including threats of violence or retribution) from any wifilo customer, wifilo employee, member, or officer will result in immediate account termination.
- We reserve the right to provide our services to your competitors and make no promises of exclusivity in any particular market segment. You also acknowledge and agree that wifilo employees and contractors may also be customers/merchants and that they may compete with you, although they may not use your confidential information in doing so.
- In the event of a dispute regarding account ownership, we reserve the right to request documentation to determine or confirm account ownership. Documentation may include, but is not limited to, a copy of your business license, a copy of your personal identification, the last four digits of the credit card used, etc.
- wifilo retains the right to determine, in our sole discretion, the legal ownership of the account and transfer the account to the appropriate owner legitimate. If we are unable to determine the rightful account owner, wifilo reserves the right to temporarily disable the account in question until a resolution has been determined between the parties to the dispute.
Limitation of Liability
- You understand and agree that wifilo is not responsible for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damage/loss of profits, opportunities, use, data or other intangible losses resulting from the use or inability to use this service.
- In no event shall wifilo or our suppliers be liable for any lost profits or special, incidental or consequential damages arising out of or in connection with our site, our services or this agreement (however arising including negligence). You agree to indemnify and hold us and (as applicable) our company, subsidiaries, affiliates, wifilo partners, officers, directors, agents, and employees, harmless from any claim or demand, including reasonable attorneys' fees, made by third parties due to or arising from your breach of this Agreement or the documents it incorporates by reference, or your violation of any law or the rights of a third party.
- Use of the Services is at your own risk. The Service is provided on an “as is” and “as available” basis without any warranties or conditions, express, implied or statutory.
- wifilo does not warrant that the Services will be uninterrupted, timely, secure, or error-free.
- wifilo does not warrant that the results that may be obtained from the use of the Services will be accurate or reliable.
- wifilo does not warrant that the quality of any products, services, information, or other material purchased or obtained by you through the Service will meet your expectations, or that any errors in the Service will be corrected.
Intellectual Property and Customer Content
- We do not claim intellectual property rights to the material you provide to the wifilo service. All material you upload remains your property and responsibility. You can delete your wifilo app at any time by deleting your account. This will also delete all content that has been stored on the Service.
- We will not disclose your confidential information to third parties, except as necessary in order to provide our services. Confidential information includes material or information provided by you to us that is not publicly known. Confidential information does not include information that: (a) is in the public domain at the time we receive it; (b) enters the public domain after we accept it to be no fault of ours; (c) information we receive from anyone other than you without breach of their confidentiality; or (d) your information that we are required by law to disclose.
Payment of Service Fees
- This service will be billed 10 days before the expiration date of the package you choose. When the billing period ends the Account owner will be sent an invoice via the email provided. Additionally, the invoice will appear on the account page of your wifilo administration console. Users have approximately two weeks to raise and resolve issues with billing.
- wifilo reserves the right to take into account and include all proprietary charges of all governments, provinces, countries or other governments relating to the sale of goods and services, or any taxes, fees or charges now in effect or imposed in the future.
- wifilo does not provide refunds for service packages that you have paid for.
- wifilo will delete your application and data if 7 days after your service expires and you do not pay your bill, applications and data that have been deleted cannot be restored.
Consultant Services
- wifilo provides consulting services and is an independent party that can help you, if you encounter difficulties, to build, operate and optimize your wifilo Application. wifilo does not perform third party Consultant services and is not affiliated with any Consultant.
- wifilo is not responsible for work performed by any of the third party Consultants or failure to fulfill work orders. Links to Consultant sites, announcements about their services or offers, and responses to email inquiries regarding Consultant services, are provided for informational purposes only at wifilo's discretion and shall not be considered part of, or an affiliate of wifilo's services.
- wifilo is not under any obligation to assume any direct, indirect, incidental, special, consequential or other damages whatsoever, including, without limitation, direct, indirect, incidental, special, consequential, or damages resulting from the contractual relationship between you and the consultant third party.
Cancellation and Termination of Services
- You may cancel your account at any time by sending an email to support@wifilo.com and then following the specific instructions indicated to you in response to terminating your use of wifilo's services.
- Once cancellation is confirmed, all of your Applications will be immediately removed from the Service. Because deletion of all data is final, all data that has been deleted cannot be restored.
- If you cancel the Service, wifilo is not responsible for or refund any fees you have paid while using the service.
- Violation of the Terms of Service will lead to unilateral Cancellation & Termination of Services by wifilo. And under certain conditions we reserve the right to modify or discontinue wifilo services for any reason, without notice at any time.
Modifications to Services and Pricing
- Prices or fees for using wifilo may change at any time. Such notification can be provided at any time by posting changes on the wifilo website (wifilo.com) or your wifilo store administration menu via an announcement. Price changes will apply to the next service transaction and wifilo will not charge the increase in fees for services that you have previously paid for.
- wifilo reserves the right at any time to change or discontinue, the Service (or any part thereof) with or without notice.
- wifilo shall not be liable to you or to any third party for any modification, price change, suspension or discontinuance of providing this Service.
